      Shares of SK Hynix experienced a significant decline of approximately 5% during Monday’s trading session, representing the steepest single-day loss in two weeks. The selloff was triggered by a Bloomberg report indicating that Solidigm, the semiconductor manufacturer’s American storage division, is exploring the possibility of going public.

      According to reports, the planned IPO could materialize as early as next year, with industry sources suggesting a potential market capitalization approaching $100 billion.

      During after-hours US trading, SK Hynix’s ADRs declined more than 3% before Monday’s regular session began. Despite this setback, the shares remain elevated by approximately 25% compared to their initial Nasdaq launch price of $149.

      The market reaction extended beyond SK Hynix itself. SK Square, which holds the largest ownership stake in the company, plummeted over 8%. Meanwhile, SK Inc., the parent entity controlling SK Square, registered losses exceeding 6%.

      Wider market dynamics also contributed to the downturn. Other semiconductor manufacturers, including Samsung Electronics, faced similar declines as crude oil prices advanced and market participants adopted a more cautious stance toward riskier assets.

      The Strategic Importance of Solidigm

      Solidigm emerged following SK Hynix’s strategic purchase of Intel’s NAND flash memory and solid-state drive operations in a transaction valued at $9 billion. This acquisition provides SK Hynix with a competitive position in the enterprise SSD market and data center storage solutions.

      This represents a distinct business segment compared to SK Hynix’s primary operations in DRAM and high-bandwidth memory products. Solidigm’s solid-state drive portfolio directly addresses the growing demand within AI-powered data centers, a sector SK Hynix has identified as a key expansion opportunity.

      SK Hynix maintains ownership of Solidigm through an American subsidiary named AI Company. This organizational arrangement positions Solidigm as what industry observers describe as a “grandchild company” within the broader SK Group corporate family.

      Corporate Governance Questions

      A public listing would introduce additional complexity to an already intricate ownership framework. The Korea Corporate Governance Forum, a nonprofit organization representing institutional investors, issued a warning in August advising SK Hynix to abandon the IPO plans.

      The organization contends that a US public offering would compound SK’s multilayered ownership architecture. This type of arrangement concentrates control at the apex through a network of minority holdings rather than straightforward majority ownership.

      However, not all market participants view the situation negatively. Jung In Yun, chief executive of Fibonacci Asset Management Global, indicated he would adopt a “watchful rather than alarmed” approach.

      Yun observed that a US stock exchange listing could release trapped value within Solidigm and provide capital for growth initiatives. The potential downside is that SK Hynix investors would relinquish a portion of Solidigm’s future profitability.

      He emphasized two critical considerations: the offering valuation and capital allocation strategy. Divesting a modest stake at an attractive premium could enhance shareholder value, he explained, whereas substantial dilution without demonstrable returns on deployed capital would represent a negative development.

      SK Hynix has delivered impressive performance since launching its Nasdaq presence fewer than three months ago. The ADRs began trading at $170 following their $149 pricing, subsequently reaching a post-debut peak of $198.63 on September 9, representing approximately 33% appreciation from the initial offering price.

      Monday’s decline reduced some accumulated gains but failed to eliminate them entirely. SK Hynix continues trading roughly 25% above its US market debut level.
