Shares of SurgePays experienced a dramatic 34.59% surge in after-hours trading Thursday, reaching $0.22 following the company’s announcement of a significant asset divestiture to GPO Plus valued at $27.5 million. During regular trading hours, the stock had declined 4.69% to settle at $0.16.
The transaction encompasses SurgePays’ ClearLine point-of-sale engagement system, its Managed Marketing Services infrastructure, and the GPOX Wireless MVNO operation. The acquiring entity, ClearLine Apps, operates as a subsidiary under Las Vegas-headquartered GPO Plus.
Regular session volume reached 77.95 million shares, representing approximately 3.3 times the stock’s typical volume of 23.66 million. The after-hours rally materialized following the post-market announcement.
Documents were executed on September 7, 2026, with the deal reaching completion on September 10. As consideration, SurgePays received 25 million shares of GPO Plus Series D Preferred Stock representing the entire purchase price.
To safeguard the transaction value, SurgePays negotiated a put option arrangement with Emerald Shoals Targeted Opportunities Fund LP. This mechanism enables SurgePays to liquidate the preferred shares, or any converted common equity, back to the fund at the full $27.5 million valuation during a period extending three years and 90 days.
Strategic Benefits for SurgePays
Chief Executive Officer Brian Cox characterized the arrangement as a “win-win for both companies and their shareholders,” highlighting favorable recent MVNO sector valuations. He emphasized that the deal fortifies the company’s financial position while enabling management to concentrate on core prepaid wireless and financial technology businesses.
These core operations cater to an estimated 138 million subprime consumers across the United States. SurgePays identifies this demographic as its principal avenue for future expansion.
As part of the closing arrangements, GPO Plus granted Emerald Shoals a five-year warrant covering 15 million common shares, structured across three distinct price levels.
Enhanced Nasdaq Listing Compliance
Among the most significant near-term consequences of this transaction is its effect on SurgePays’ Nasdaq listing status. Finalizing the deal elevated the company’s stockholders’ equity above both Nasdaq’s ongoing and initial listing requirements.
SurgePays indicated its intention to inform Nasdaq and implement solutions addressing its outstanding bid price deficiency, potentially including a reverse stock split.
The company maintains a market capitalization of approximately $8.84 million. Its 52-week trading range spans from $0.15 to $3.14, with shares declining 94.19% during the trailing 12-month period.
SURG presently registers an RSI reading of 36.72 with roughly 52.91 million shares outstanding. The latest analyst recommendation on the equity stands at Buy with a $3.50 price objective.
