EU Regulators Scrutinize Binance’s Use of MiCA Exemption
European regulators are scrutinizing Binance's use of a narrow exemption under the Markets in Crypto-Assets Regulation as the world's largest cryptocurrency exchange continues operating in parts of the European Union without obtaining a full MiCA Crypto-Asset Service Provider licence.The issue centres on reverse solicitation, a provision allowing an EU customer to independently approach a crypto company located outside the bloc for services.MiCA permits such activity without requiring the foreign provider to obtain authorization, but only when the relationship is genuinely initiated at the customer's “own exclusive initiative.” The exemption cannot be used by an offshore exchange as a general route for actively targeting European customers while avoiding MiCA authorization.Regulators are now examining whether Binance's use of that provision complies with the narrow conditions established under MiCA and subsequent guidance from the European Securities and Markets Authority.The scrutiny does not itself establish that Binance has violated MiCA. The central regulatory question is whether particular European customers genuinely initiated their relationships with Binance without prior solicitation or promotion by the exchange.
Reverse Solicitation Is Deliberately Narrow
MiCA created a harmonized licensing regime for crypto-asset service providers across the European Economic Area.Once authorized, a provider can generally use the framework's passporting mechanism to offer covered services throughout participating countries. Firms operating from outside the EU, however, cannot use reverse solicitation as an alternative business model for systematically serving European customers.ESMA has repeatedly emphasized that the exemption should be interpreted narrowly.Regulatory guidance makes clear that solicitation can include not only direct advertising but also online promotions, sponsorships, influencers and other methods intended to attract EU clients.The restriction also extends beyond the initial transaction. When a customer independently requests a particular crypto service or asset, an offshore provider cannot automatically treat that request as permission to market unrelated products later.That creates an important compliance challenge for global exchanges whose websites, apps and marketing campaigns can reach customers across multiple jurisdictions.Binance does hold regulatory registrations through some European entities, but it has not secured a MiCA authorization giving it a single passportable licence across the bloc.The company withdrew an application in Greece earlier in 2026, leaving its longer-term European licensing strategy under increased attention.MiCA Transition Period Is Running Out
The scrutiny comes as Europe's transitional arrangements for pre-MiCA crypto businesses move toward their end.MiCA's rules for crypto-asset service providers became applicable on December 30, 2024, but member states were allowed to provide existing national operators with transitional periods lasting as late as July 1, 2026.Those grandfathering arrangements were never intended to provide indefinite access to the EU market.As they expire, companies serving European customers increasingly need either a MiCA authorization, a legally valid alternative regulatory basis or to restrict the services they provide.The stakes are particularly high for Binance because a MiCA licence would potentially allow an authorized European entity to passport services across the EEA rather than maintaining a patchwork of national arrangements.Regulators have simultaneously been tightening their interpretation of how overseas platforms can interact with EU customers.ESMA has warned that firms should not structure marketing or customer acquisition strategies around reverse solicitation and that regulators should take steps to prevent the exemption from undermining MiCA's authorization regime.For Binance, the immediate issue is therefore not whether reverse solicitation exists — EU law explicitly provides for it — but whether the exchange's actual use of the exemption remains within its intended boundaries.Any formal determination would depend on the specific customer interactions, marketing practices and services examined by regulators.Until that process produces a finding, scrutiny should not be confused with an enforcement judgment.But the examination highlights a broader shift in Europe's crypto market: with MiCA's transition period effectively over, regulators are increasingly focused not merely on whether exchanges claim an exemption, but on whether their business practices genuinely satisfy it.Source: FinanceFeeds
