      The transaction, revealed on September 17, 2026, will merge both organizations through their wholly owned subsidiary entities Nighthawk Merger Sub Corp. and Nighthawk Second Merger Sub, LLC.

      Following completion, the merged entity will operate as North Immunology, Inc. and will trade on the Nasdaq Capital Market utilizing the ticker NRTX.

      According to the merger terms, stakeholders from North Immunology alongside incoming PIPE participants will control approximately 95.25% of the consolidated company.

      Current Aethlon stockholders will retain approximately 4.75% ownership in the newly formed company, in addition to contingent value rights linked to potential revenue from Aethlon’s existing Hemopurifier technology.

      Accompanying the merger is an oversubscribed private placement totaling $180 million, demonstrating robust institutional interest in the transaction.

      The financing round attracted participation from several healthcare-focused institutional investors, including Bain Capital Life Sciences, Janus Henderson Investors, Deep Track Capital, Longitude Capital, Soleus Capital, Invus, Sirenia Capital Management LP, Farallon Capital Management, Adage Capital Partners LP, and TCGX.

      Within the $180 million total, approximately $34 million represents the conversion of North Immunology’s existing convertible promissory notes, along with accumulated interest, premiums, and associated fees.

      The capital raised is projected to sustain the merged company’s operations through the latter half of 2028.

      North Immunology’s Development Pipeline

      North Immunology specializes in developing bispecific antibody therapies designed to modulate inflammatory pathways associated with immune-mediated conditions.

      The company’s flagship asset, NOR-101, represents a half-life extended IL-13 x IL-18 bispecific antibody under development for the treatment of atopic dermatitis.

      Phase 1a clinical evaluation of NOR-101 is slated to commence during the opening quarter of 2027, with preliminary pharmacokinetic and safety findings anticipated around mid-2027.

      Top-line results from these clinical studies are projected to become available during 2028.

      The transaction is anticipated to reach completion in the first quarter of 2027, subject to approval from shareholders, regulators, and listing authorities.

      Following the deal’s closure, North Immunology’s current leadership team and board members will assume control of the combined organization.
