Consensys Announces Major Restructuring: MetaMask to Become Standalone Company
Key Takeaways

- The current Consensys Software Inc. will transition to become MetaMask, with Joe Lubin assuming roles of chairman and CEO

Leading Ethereum development company Consensys has unveiled plans to reorganize into two distinct corporate entities by the close of 2026. This strategic division will establish MetaMask as an independent consumer wallet business, while institutional blockchain infrastructure services will operate under a separate organization.
Today, MetaMask begins its next chapter as an independent company.

The current corporate structure, Consensys Software Inc., will undergo a complete rebrand to become MetaMask. Joe Lubin, co-founder of Ethereum, will assume leadership as both chairman and chief executive officer of the MetaMask organization.
Meanwhile, a freshly established corporation will adopt the Consensys brand. This entity will operate under the leadership of CEO Mike Kriak and President David Cunningham, with Lubin simultaneously holding the position of executive chairman.
Enterprise Blockchain Focus for New Consensys
The reconstituted Consensys will consolidate operations from Linea, Besu and Teku development teams. These platforms represent critical components of Ethereum’s technical ecosystem.
The enterprise-focused entity will concentrate on delivering blockchain solutions to financial institutions, including banks and asset management firms. Core service offerings will encompass tokenization platforms, stablecoin infrastructure and blockchain-based settlement systems.
According to company statements, the diverging strategic priorities of these two business segments warrant independent operational structures.
MetaMask’s Evolution Into Financial Services
Initially released in 2016 as a browser-based extension for cryptocurrency management, MetaMask has evolved into a comprehensive financial platform.
The digital wallet has registered more than 100 million downloads globally across roughly 190 nations. Company data indicates the platform has facilitated trillions of dollars in transaction activity.
Last June, MetaMask introduced Money Account functionality. This feature enables users to generate up to 4% variable annual percentage yield on holdings in mUSD stablecoin through decentralized finance lending protocols.
Additionally, users can transact with these funds using the MetaMask Card, a Mastercard-powered payment card currently accessible in 49 states across America, along with select regions in Europe, Canada and Latin America.
This past February, MetaMask introduced access to 200 tokenized equities, exchange-traded funds and commodities via collaboration with Ondo Global Markets. This service targets qualified users residing outside United States territory.
Looking ahead, MetaMask intends to broaden its portfolio across payment processing, savings products, investment vehicles and conventional financial services.
This corporate restructuring arrives following postponement of public offering plans. Consensys had reportedly contracted JPMorgan and Goldman Sachs for a prospective US stock exchange debut, but deferred the timeline to at least autumn due to challenging market circumstances.
The organization has not disclosed whether the IPO schedule remains valid or identified which of the two successor companies would pursue a public listing.
