Ingenia rejects AUD1.94bn Warburg Pincus takeover proposal
Australia-listed land-lease community operator Ingenia Communities has rejected a AUD1.94bn ($1.4bn) takeover approach from Warburg Pincus, arguing that the private equity firm’s proposal significantly undervalues the business, according to a report by Reuters.
Warburg Pincus offered AUD4.75 per Ingenia share, representing a premium of more than 30% to the company’s closing price on Friday. Despite the rejection, the US-based buyout firm said it remained willing to engage with Ingenia’s board.
Ingenia shares jumped as much as 20.3% following news of the proposal, marking their strongest intraday performance in almost 17 years. The stock ultimately finished 15.1% higher.
A key condition of the Warburg Pincus proposal was that Ingenia abandon its planned AUD1bn ($711m) acquisition of master-planned communities developer Peet.
Ingenia’s board said the Peet transaction remains an important part of its long-term growth strategy and that the company is confident in its ability to expand its land-lease platform while improving its scale and operating efficiency.
The acquisition is expected to give Ingenia access to a sizeable pipeline of future developments, supporting the group’s ability to grow its portfolio and increase the delivery of new communities.
Morningstar equity analyst Esther Holloway said Warburg Pincus’ approach appeared to reflect private equity appetite for land-lease assets and came at a point when Ingenia could still potentially walk away from the Peet transaction, although doing so would involve break fees.
Holloway estimated that a further increase of close to 20% could be required for the offer to reach a valuation she regarded as fair.
Ingenia’s latest full-year results, which exceeded market expectations, highlighted increasing demand for affordable housing within the land-lease sector. The market has attracted particular interest among retirees and continues to benefit from government support measures, including rent assistance and tax exemptions.
