Shares of WhiteFiber (WYFI) tumbled 25% in extended trading Tuesday following the company’s revelation of a $250 million convertible senior notes offering. The decline came after an already challenging regular session that saw the stock shed 8.5% to close near $27.78, accompanied by trading volume that lagged 74% behind typical daily levels.

The convertible debt instruments carry a 2032 maturity date and will be sold through a private placement exclusively to qualified institutional investors. Additionally, WhiteFiber has granted initial purchasers an option to acquire an additional $37.5 million in notes beyond the primary offering amount.
These notes will rank as senior unsecured obligations of the company and will carry semiannual interest payments. Upon conversion, WhiteFiber retains the flexibility to settle obligations using cash, ordinary shares, or a combination of the two.
Capital Deployment Strategy
WhiteFiber intends to allocate the majority of raised capital toward expanding its data center footprint. This encompasses leasing or acquiring new facilities, construction expenditures, energy infrastructure agreements, and procuring GPU servers to bolster its cloud computing operations.
The company has also indicated potential uses include strategic acquisitions, collaborative partnerships, and joint venture opportunities, alongside general corporate purposes and working capital needs. WhiteFiber acknowledged that supplementary project financing, including construction lending facilities, will be necessary to fully implement these expansion initiatives.
Specific terms such as the interest rate and conversion ratio will be determined when the offering is priced.
Prior to Tuesday’s sharp decline, WhiteFiber’s latest quarterly performance showed mixed signals. The company posted a loss of $0.39 per share, marginally outperforming analyst expectations of a $0.40 loss. Quarterly revenue totaled $28.84 million.
The company continues to operate with a significantly negative net margin of -46.87%, while return on equity registered at -10.72%. Wall Street analysts project a full-year loss of $0.97 per share.

Despite recent stock weakness, analyst coverage of WYFI maintains a generally optimistic tone. Among the 14 analysts tracking the company, 11 have assigned Buy ratings, two recommend Hold, and one rates it Sell. The overall consensus is classified as “Moderate Buy” with a mean price target of $36.08.
Notable recent analyst activity includes Needham raising its price target from $38 to $41 while reiterating a Buy rating. Cantor Fitzgerald upgraded the stock from Neutral to Overweight, simultaneously increasing its target from $27 to $36. BTIG continues to maintain a Buy rating with a $50 price target.
Barclays adjusted its target upward from $29 to $32 while maintaining an Equal Weight stance.
Technical indicators show the stock’s 50-day moving average at $30.42, with the 200-day moving average positioned at $23.01. The company’s market capitalization currently stands at roughly $1.06 billion.
Multiple institutional investors initiated positions in WYFI during the fourth quarter, including Strs Ohio, Royal Bank of Canada, and MetLife Investment Management.
