      Workday stock is experiencing a pullback following one of its most dramatic rallies in recent memory. On Monday, two prominent Wall Street analysts pumped the brakes on the enterprise software company, downgrading shares after a remarkable 76% climb from recent lows.

      Deutsche Bank lowered its stance to Hold from Buy, though it simultaneously lifted its price objective to $220 from $180. BTIG shifted to Neutral from Buy, removing its earlier $175 target completely.

      In Monday’s premarket session, Workday shares dropped 2.9% to $192.95. This followed a 3.8% decline during Friday’s regular trading hours.

      Shares had jumped nearly 18% last Thursday following a Reuters report indicating that private-equity giant Silver Lake had held exploratory discussions with Workday regarding a possible take-private transaction.

      That single-day surge contributed to a 24% gain for August. However, despite this impressive rally, WDAY remains down 7.5% year-to-date in 2026 and has declined 14% over the trailing 12-month period.

      The Rationale Behind the Downgrades

      BTIG’s Allan Verkhovski emphasized that his downgrade extends beyond simple valuation metrics. He highlighted consensus projections for fiscal 2027 subscription revenue growth as a primary concern, characterizing these estimates as “too optimistic.”

      Verkhovski had originally initiated coverage with a Buy rating back in December, arguing that Workday was positioned to drive AI adoption with “minimal AI disruption risk.” He now suggests that a private-market structure might actually facilitate that transformation more effectively.

      Deutsche Bank reinforced the valuation argument. Between June 1 and August 14, WDAY appreciated approximately 26%, while comparable companies including ServiceNow, Salesforce, Autodesk, Adobe, and Intuit averaged a 4% decline during the identical timeframe.

      The firm continues to regard Workday as among the premier franchises within enterprise software, highlighting its 76% gross profit margin, business-critical offerings, and robust customer retention metrics. Importantly, the downgrade reflects valuation concerns rather than deteriorating business fundamentals.

      Implications of a Potential Acquisition

      BTIG’s Verkhovski observed that Workday remains a “logical private-equity target,” underpinned by a 97% gross retention rate and predictable revenue streams.

      He outlined a straightforward scenario analysis: should negotiations with Silver Lake collapse and shares retreat toward the $175 level, the current risk-reward profile appears balanced. However, if a transaction materializes, investors could benefit from a deal valued north of $50 billion.

      Evercore ISI’s Kirk Materne commented Friday that Silver Lake’s reported interest implies that the “terminal AI risk” frequently associated with enterprise software may be exaggerated.

      Materne further suggested that a Workday acquisition could boost positive sentiment surrounding ServiceNow and Salesforce, both of which declined more than 2.5% on Monday.

      BMO Capital maintained its Outperform rating. UBS increased its price target to $220 while keeping its Neutral stance. Morgan Stanley took a contrarian view, downgrading to Underweight with a $145 price target. CLSA launched coverage with an Underperform rating and a $92 target.
