Blockchain.com Files Confidential S-1 for Multi-Billion Dollar IPO

Blockchain.com, a prominent player in the cryptocurrency sector, has filed a confidential draft S-1 registration statement with the U.S. Securities and Exchange Commission (SEC) as of May 21, 2026. The company aims to raise approximately $500 million and is targeting a valuation between $4 billion and $6 billion, a notable decline from its peak valuation of $14 billion in 2022.

The firm, which has been profitable on an adjusted basis for the past three years, operates with around 500 employees and supports nearly 95 million wallets and over 43 million confirmed accounts. Since its inception in 2011, Blockchain.com has facilitated over $1.1 trillion in total transaction volume, distinguishing itself among crypto firms that have weathered various market cycles.

In a strategic move, Blockchain.com recently signed a memorandum of understanding with the New York Stock Exchange on September 23, 2026. This agreement aims to enable the offering of tokenized versions of U.S.-listed stocks and exchange-traded funds through a new digital platform, pending necessary regulatory approvals. The anticipated capital from the IPO would bolster Blockchain.com’s efforts to expand its product offerings, particularly in the area of tokenized securities.
