SEC Commissioner Defends Quorum Rule Changes Amid Staffing Challenges

On October 12, 2026, Securities and Exchange Commission (SEC) Commissioner Mark T. Uyeda addressed concerns regarding recent amendments to the agency's quorum rule, which now allows a single eligible commissioner to establish a quorum in specific situations. This change comes as the SEC operates with only two commissioners following the departure of Commissioner Hester Peirce, leaving three seats vacant.

The amendments, adopted on September 30, 2026, and effective from October 2, were framed by Uyeda as necessary for operational efficiency rather than a shift in the SEC's mission. He emphasized that the agency's core functions remain intact, despite the reduced number of commissioners. The new rule is designed to clarify how quorum is handled when other commissioners are disqualified due to ethics rules or conflicts of interest.

Critics have raised concerns about the lack of a notice-and-comment period for the amendments, which were classified as an internal management matter. This classification allowed the SEC to bypass the usual public feedback process. The change could facilitate quicker decision-making on regulatory proposals, particularly those related to digital assets, but may also expose decisions made by a single commissioner to legal challenges. The effectiveness of this rule will largely depend on how frequently it is utilized and the nature of the matters at hand.
