      SpaceX’s Lock-Up Runs to 8 December: Four More…

      The 9 September unlock was not the event. It was an instalment. SpaceX (NASDAQ: SPCX) released another 319 million Class A shares from its post-IPO lockup on 9 September, the third staged tranche since the company's June listing, and the stock fell more than 4% on the day. Four more release dates remain before the final 180-day expiration on 8 December, with the two largest tranches still ahead.

      What Unlocked on 9 September and What It Cost

      The 9 September tranche made 319 million shares eligible for sale, valued at approximately $49 billion based on the prior close of $153.47. An additional 59.1 million shares held by Rule 144 affiliates unlocked on 10 September, subject to volume and manner-of-sale restrictions. The combined two-day total: 378.1 million shares, or roughly $58 billion at the closing price.The 4% decline mirrored the pattern from the 20 August unlock, when the same 319 million share size triggered a roughly 4% drop that proved temporary. The stock recovered in subsequent sessions**, and the larger 6 August unlock was absorbed outright.** Whether the same rebound holds this time depends partly on how much selling pressure the remaining calendar generates.

      The Full Calendar: 24 September Through 8 December

      The prospectus structures the 180-day lockup as a staggered release, deliberately avoiding a single supply cliff. According to the PurePowerPicks tracker and Investing.com analysis, the remaining dates and approximate tranche sizes are as follows.
      1. 24 September (Day 105): Approximately 328.4 million shares, representing 7% of the 180-day block.
      2. 9 October (Day 120): Approximately 328.4 million shares, another 7% tranche.
      3. 24 October (Day 135): Approximately 328.4 million shares, the final scheduled 7% tranche.
      4. Post-Q3 earnings (estimated early November): Approximately 1.3 billion shares, the single largest release at roughly 28% of the 180-day block. This tranche is earnings-triggered, meaning it unlocks two trading days after SpaceX files its Q3 2026 results.
      5. 8 December (Day 180): Approximately 797.6 million shares. The August IPO-price bonus, which required SPCX to close 30% above the $135 IPO price on five of ten trading days, did not materialise. Those 455.8 million shares rolled into this final tranche.
      A caution on precision: the trackers disagree on exact tranche sizes. PurePowerPicks reports the October tranches at 328.4 million each; CNBC has cited roughly 700 million shares across September and close to that in October. The discrepancy reflects differences in how each source counts affiliate shares and the earnings-triggered block. Where sources conflict, the range is reported here rather than a single number.

      Why the Stagger Matters More Than Any Single Date

      The prospectus designed this structure to prevent a single supply shock, but the effect is a repeating overhang. Each tranche adds to the available float, and each one gives employees and early investors a window to diversify or cover tax withholdings. The IRS treats vested shares as W-2 income, so a portion of every unlock generates programmatic selling that is unrelated to any view on SpaceX's fundamentals.SpaceX went public at $135 on 12 June with roughly 639 million shares, or 4-5% of approximately 13.4 billion total shares outstanding. As of 9 September, the float has expanded to roughly 16% of the company. After the Q3-earnings release and the 8 December expiration, it will reach approximately 66%, according to Investing.com's projections.

      Musk's Shares Stay Locked Until June 2027

      The largest single block belongs to Elon Musk, who holds more than 6.4 billion shares under a 366-calendar-day lockup with no early-release provisions. Those shares cannot trade until 12 or 13 June 2027. The extended-investor group holds a separate block of roughly 1.76 billion shares, also subject to longer restrictions with partial releases tied to quarterly earnings through early 2027.Until Musk's lock expires, the float everyone quotes remains a fraction of the company. Pivotal Research analyst Jeffrey Wlodarczak, who initiated coverage on 8 September with a Buy rating and a $220 price target, noted that SpaceX's roughly $2 trillion valuation "depends heavily on making Starship rapidly reusable" but cautioned it would become "a much smaller company" without achieving that milestone.

      Price Action Around the Last Two Unlocks

      The market's reaction to the first three tranches offers a rough template, though not a guarantee. The 6 August earnings-triggered release of 911.5 million shares, the largest so far, was absorbed without a sell-off: the stock rose 6.14% to $114.92.The 20 August tranche of 319 million shares coincided with a roughly 4% decline that proved temporary. The 9 September tranche of the same size produced a similar 4% decline, with the stock trading at $153.47 the day before.Street consensus across 35 analysts remains a Buy, with an average price target of $222.32, implying roughly 45% upside from the 8 September close. The range runs from $117 at the low end to $450 at the top. The next catalysts beyond the lockup calendar are SpaceX's Starship Flight 14 test, which Polymarket prices at roughly 85% probability by late September, and the Q3 earnings report that will trigger the 1.3 billion-share release.
