      A Privacy Coin Got a US Spot ETF, and the Treasury is Still…

      The Grayscale Zcash Trust ETF began trading on NYSE Arca on 25 August under the ticker ZCSH, giving U.S. investors their first regulated spot exposure to a cryptocurrency built for shielded transactions. Within two weeks, the fund crossed $500 million in assets under management, Grayscale confirmed on 8 September. The milestone arrived while Roman Storm, co-founder of Tornado Cash, was convicted in August 2025 of conspiracy to operate an unlicensed money transmitting business, awaits sentencing, and faces a retrial on the two deadlocked counts set for 26 April 2027 by order of Judge Katherine Polk Failla.

      What ZCSH Holds and How Fast It Grew

      ZCSH crossed $500 million in assets under management as of 8 September, Grayscale confirmed. The fund launched from a predecessor vehicle created in October 2017 and rebranded to an ETF structure this year. Grayscale's press release describes ZCSH as the "first exchange-traded product in the world offering spot exposure to ZEC." That is Grayscale's claim, stated in that exact scope, and the $500 million AUM figure warrants context. DCG International Investments, an indirect subsidiary of Digital Currency Group, contributed approximately $100 million by exchanging 85,705 ZEC through an authorised participant, Bitcoin News reported. DCG is also the indirect parent of Grayscale's sponsor entity. External inflows during the first two weeks totalled more than $70 million. The remainder reflects legacy assets carried over from the trust's pre-ETF structure. The headline figure measures fund scale, not a clean readout of outside investor demand. Steve Vanourny, Head of Index at Grayscale, noted in a statement that the AUM milestone "includes ZCSH seeing cumulative inflows of more than $70 million" in the initial trading period. Options on ZCSH began trading on 8 September.

      What the SEC Closed and What it Left Open

      The ETF's path was cleared in part by the SEC's decision to close its investigation into the Zcash Foundation on 14 January 2026 without recommending enforcement action. The probe, labelled "In the Matter of Certain Crypto Asset Offerings (SF-04569)," had been open since 31 August 2023 and examined potential securities-law issues related to Zcash's funding structure and governance.The closure removed a regulatory overhang but did not produce a formal determination on whether ZEC is a security. The Zcash Foundation stated the outcome "reflects its long-standing focus on transparency and regulatory compliance." The SEC issued no public explanation of its reasoning.That silence matters. Closing a probe is not the same as granting a no-action letter or issuing guidance. The SEC did not affirmatively say ZEC is not a security. It said it would not, at this time, pursue the question further. Future enforcement on a different theory, or by a differently constituted commission, remains technically possible. ZEC rose approximately 3% in the hours following the January announcement, FX Leaders reported, pricing in the removal of the overhang.

      The Compliance Puzzle for Exchanges Listing Shielded Assets

      Zcash's shielded pool allows users to conduct transactions that are cryptographically hidden from the public blockchain. That feature was the entire point of the project. It is also the feature that puts exchange compliance teams in a bind: how do you meet anti-money-laundering obligations when the asset's core function is to obscure sender, receiver, and amount?In practice, most exchanges that list ZEC restrict or disable shielded withdrawals, accepting only transparent-pool transactions that behave like ordinary Bitcoin transfers. The ETF sidesteps the issue entirely. ZCSH investors hold fund shares, not ZEC tokens, and never interact with the shielded pool. Custody, compliance, and AML obligations sit with Grayscale and its service providers, not the end investor.For institutional allocators, this is a feature, not a complication. The ETF form converts a privacy asset into a compliance-friendly vehicle that clears standard brokerage and retirement-account rails. Whether that wrapper validates the ETF structure as a pragmatic solution or contradicts the asset's purpose depends on why the buyer showed up.

      What Issuers Read Into It

      For other asset managers, the ZCSH listing signals that the SEC's current posture does not categorically block privacy-focused tokens from the ETF pipeline. Grayscale's success raises the question of whether a Monero or Dash spot fund could follow.The March 2026 Treasury report on the Genius Act acknowledged that "individuals may want to use mixers to maintain more privacy of their consumer spending habits," CoinDesk reported. That language marked a notable softening from the department's years-long hostility toward privacy tooling. Yet Roman Storm, co-founder of Tornado Cash, was convicted in August 2025 of conspiracy to operate an unlicensed money transmitting business after the jury hung on the two more serious counts.Storm awaits sentencing, with his Rule 29 acquittal motion still undecided, and faces a court-ordered retrial on Counts One and Three set for 26 April 2027, even after the government removed Tornado Cash itself from OFAC's sanctions list in 2025, following an appellate court ruling that questioned the Treasury's authority to sanction open-source smart contracts.

      What Would Reverse It?

      Three developments could close the window. A new SEC investigation targeting ZEC directly on securities grounds would force Grayscale to disclose a material risk that the current prospectus does not contemplate. A legislative move to extend Bank Secrecy Act obligations to privacy-coin custodians, a proposal the Treasury's own report flagged as a possibility, would raise compliance costs for any fund holding shielded assets. And a high-profile enforcement action linking ZEC specifically to sanctions evasion would change the political calculus overnight.ZEC traded near $1,200 in early September, having reached $1,249.28 on 6 September, according to CoinGecko. The token has gained more than 2,200% over the past 12 months, with a market capitalisation of approximately $20 billion. Those numbers reflect a market that has priced in the ETF catalyst. The regulatory question is whether the foundations beneath that rally are as solid as the price suggests.
