      Citadel Securities Advocates for SEC Oversight of Equity-Linked Products

      Citadel Securities has called for the U.S. Securities and Exchange Commission (SEC) to maintain its regulatory oversight of equity-linked products, particularly in light of the emergence of new event contracts and perpetual derivatives. In a comment letter dated September 9, the firm emphasized that innovation in financial products should not undermine the existing regulatory framework that governs U.S. securities markets.

      The firm expressed concerns regarding the self-certification process employed by the Commodity Futures Trading Commission (CFTC), which allows registered trading venues to certify new products for trading without prior SEC approval. Citadel Securities argued that this process could enable trading venues to bypass SEC jurisdiction, particularly for products it considers security-based swaps, which should remain under SEC regulation.

      Additionally, Citadel Securities highlighted potential risks associated with equity-linked perpetual derivatives, warning that they could lead to trading activities occurring outside the SEC's established surveillance and investor protection systems. The firm urged both the SEC and CFTC to clarify the regulatory status of event contracts and perpetual derivatives, reinforcing the SEC's authority over equity-linked products.
