Morpho CEO Faces Criticism Over Vault Classification Proposal

Paul Frambot, CEO of the decentralized finance (DeFi) lending protocol Morpho, proposed a new framework on September 24 to classify onchain vaults into two regulatory categories: non-custodial and discretionary. This proposal quickly attracted criticism from notable figures in the crypto community, including Aave founder Stani Kulechov and attorney Gabriel Shapiro, who argued that the classification misrepresents the concept of non-custodial vaults and could serve Morpho's interests at the expense of accurate regulatory taxonomy.

Frambot's classification aims to provide a clearer understanding of vault operations based on their coding rather than traditional financial labels. Non-custodial vaults would have strict code-level constraints, minimizing managerial discretion, while discretionary vaults would allow managers significant control over investment strategies. Critics, however, contend that a true non-custodial vault should operate without any managerial oversight, referencing early models like Yearn Finance as examples of fully autonomous systems.

Morpho, which manages approximately $16 billion in total deposits, has been expanding its market presence through partnerships with major platforms like Robinhood and Coinbase. These collaborations position Morpho as a bridge between traditional finance and DeFi, making the regulatory classification of its vaults crucial for compliance and user access. The debate over vault classification raises significant implications for how Morpho and similar protocols will navigate regulatory landscapes in the future, as the labels assigned to vaults could influence their regulatory obligations and market positioning.
