      SEC's Updated Crypto FAQ Lacks Legal Authority, Expert Warns

      The U.S. Securities and Exchange Commission (SEC) has released a new set of Frequently Asked Questions (FAQ) addressing common legal inquiries related to cryptocurrency. However, former federal prosecutor Renato Mariotti cautions that this guidance should not be misconstrued as legally binding. He emphasizes that the FAQ, published on September 25, 2026, and subsequently updated on September 28, 2026, is merely interpretive and reflects the views of SEC staff rather than the official stance of the Commission itself.

      The FAQ covers various topics that have long been debated in the crypto industry, including staking receipt tokens and decentralized network buyback programs. Despite its intent to clarify how federal securities laws apply to crypto assets, the document does not specify any particular tokens or protocols, leaving companies to interpret how the guidance applies to their products.

      Mariotti highlights the significance of the FAQ's non-binding nature, noting that it lacks legal force and has not been formally approved by the SEC. This means that market participants should treat the guidance as a reference point rather than a shield against regulatory scrutiny. The ongoing uncertainty in the regulatory landscape is compounded by stalled legislative efforts, such as the Clarity Act, which aim to provide clearer definitions of what constitutes a security in the crypto space.

      As the industry continues to navigate these ambiguous regulations, companies must make compliance decisions based on the context of their specific operations. The potential for further revisions to the FAQ indicates that the guidance remains fluid, underscoring the need for ongoing vigilance as the SEC works toward more definitive rules.
