TROOPS and EFFORCE Announce $40 Million Merger Agreement

TROOPS, Inc., a Hong Kong-based conglomerate listed on Nasdaq, has entered into a conditional agreement to merge with EFFORCE Group, a blockchain venture co-founded by Apple co-founder Steve Wozniak. The all-share deal is valued at approximately $40 million and aims to enhance TROOPS' presence in digital asset infrastructure, particularly in crypto trading and carbon credit markets.

The merger agreement, announced on October 12, 2026, is subject to regulatory approvals and customary closing conditions. TROOPS reported a revenue of $17.1 million for the fiscal year 2025, making the deal's valuation more than double its annual revenue. The strategic intent behind the merger is to integrate EFFORCE's blockchain capabilities into TROOPS' existing financial operations, focusing on digital asset trading, carbon credit transactions, and expanding financial services.

TROOPS President and CEO Damian Thurnheer described the merger as a significant milestone that will bolster the company's digital asset ambitions and diversification efforts. Following the merger, the combined entity plans to leverage EFFORCE's technology to access new markets and enhance its service offerings, including facilitating access to carbon credits and green certificates. Shareholders of TROOPS may face dilution due to the stock-based nature of the deal, and further details regarding the transaction's terms are anticipated pending regulatory clearance.
