Shares of CleanSpark experienced a substantial rally on Thursday, climbing nearly 5% after the Bitcoin mining and data center operator disclosed its intention to secure $2.227 billion through a senior secured notes offering dedicated to completing its Sandersville facility expansion.
The stock finished the trading session around $13.40, marking a 4.73% increase. At the time of reporting, CLSK was changing hands near $12.91.
CSDC Finance I LLC, a wholly owned subsidiary of CleanSpark, will issue the notes through a private placement transaction. The debt instruments carry a 2031 maturity date and remain contingent upon favorable market conditions.
The financing will address outstanding construction expenses for the Georgia-based Sandersville Facility. Additional capital will reimburse previous equity investments and create reserves for debt servicing obligations.
Another CleanSpark subsidiary, CSRE Properties Sandersville, will guarantee the notes and maintains a first lien position on substantially all assets connected to both the issuing entity and the property holding company.
Management indicated that should the offering proceeds prove insufficient for facility completion, CleanSpark will personally guarantee the project’s finalization.
Shareholder Dilution Avoided
Market participants scrutinized the financing terms to assess potential impact on existing shareholders. Because the notes represent senior secured debt instruments rather than convertible equity securities, the current structure shields investors from dilution concerns.
This debt-only approach appeared to reassure the market. The stock maintained its upward momentum throughout the trading day following the disclosure.
Meta Platforms has been confirmed as an anchor tenant at the Sandersville campus. The data center project carries $6.6 billion in committed revenue agreements. Additionally, ERCOT has provisionally designated 585 megawatts under batch zero baseload classification and an additional 300 megawatts under batch zero studied load classification.
Bitcoin Mining Operations Remain Active
CleanSpark produced 593 Bitcoin during August, representing a modest increase from July’s output of 586 BTC. The company’s total holdings stood at 13,703 BTC as of August 31, declining from 13,931 BTC recorded at July’s conclusion.
The reduction resulted from strategic liquidations. CleanSpark disposed of 229 BTC at prevailing market rates and an additional 350 BTC through call option contracts, achieving an average realized price of $66,133 per bitcoin when including option premiums.
The firm’s cumulative Bitcoin production for 2026 exceeded 4,900 BTC following August’s contribution.
From a technical perspective, CLSK trades 3.7% above its 20-day simple moving average of $12.51 and essentially flat relative to its 50-day SMA at $12.94. The 100-day SMA positioned at $14.03 represents immediate overhead resistance.
The Relative Strength Index registers 52.27, indicating neutral momentum conditions.
Wall Street analysts maintain a Buy consensus rating with a mean price target of $24.22. B. Riley elevated its target to $26.00 during August. Cantor Fitzgerald maintained its Overweight recommendation with a $26.00 objective. Chardan Capital retained its Buy rating accompanied by a $21.00 target.
The company’s next quarterly earnings release is projected for November 24, 2026. Analyst estimates anticipate a loss of 41 cents per share alongside revenue of $134.28 million.
