Lorenzo Valente, digital assets research director at ARK Invest, floated the possibility last month that Hyperliquid might acquire Gemini. He theorized that Hyperliquid could leverage Gemini as a compliant U.S. platform for perpetual futures and prediction market offerings.

No indication exists that Hyperliquid is exploring this possibility. Instead, the speculation has drawn attention to what assets a prospective acquirer would obtain at Gemini’s present valuation.

Gemini’s core exchange operations have deteriorated. According to CoinDesk, second-quarter exchange revenue contracted 38% year-over-year to $12.5 million.

Spot trading volume collapsed 66% to $3.8 billion. Platform assets under custody similarly declined from $18.2 billion to $8.4 billion.

The company remains unprofitable. Yahoo Finance reports Q2 revenue at $45.48 million alongside a net loss totaling $107.72 million.

These declining operational metrics have shifted emphasis toward Gemini’s regulated framework. The platform’s licensing portfolio, custody infrastructure, and established clientele represent assets that competing crypto firms would find challenging to replicate independently.

Winklevoss Brothers Hold Decisive Voting Power

CoinDesk previously reported that certain prospective buyers examined Gemini’s shuttered European and U.K. divisions primarily for licensing access. However, no deal materialized following disputes regarding valuation expectations.

Any comprehensive acquisition would require approval from Cameron and Tyler Winklevoss. According to CoinDesk, the twin brothers collectively control 94.5% of the company’s voting shares.

This ownership configuration could streamline negotiations since a purchaser would interface with just two controlling shareholders. Conversely, it renders any hostile acquisition virtually impossible without their consent.

Gemini’s present valuation represents a fraction of its post-IPO standing. While Friday’s 31% surge provided substantial momentum, the stock continues trading substantially below its initial offering price.
