Shares of Uber dipped 0.69% during early market hours on Tuesday before recovering to finish 0.4% higher, following the company’s announcement that it will acquire corporate catering platform ezCater for $2.3 billion in an all-cash deal.
The acquisition represents Uber’s strategic move into the corporate catering and large-group ordering market, a segment of the food delivery industry where the company has had limited presence. ezCater specializes in linking businesses with restaurants for catering needs, serving everything from small team lunches to comprehensive corporate meal programs.
According to Uber’s plans, ezCater’s catering infrastructure will be integrated into both Uber Eats and Uber for Business platforms. This integration will combine ezCater’s extensive restaurant partnerships with Uber’s established corporate customer base.
ezCater’s Value Proposition
The catering platform maintains relationships with more than 140,000 restaurants throughout the United States. During the past twelve months, ezCater’s platform facilitated over $2.5 billion in gross bookings, posting growth in the high-teens percentage range year-over-year.
ezCater already operates profitably on a non-GAAP basis. Uber indicated that the acquisition is expected to be margin accretive, suggesting it will enhance rather than diminish overall profitability.
The typical order value on ezCater’s platform surpasses $400. This represents a substantial premium over standard food delivery transactions, which explains Uber’s expectation of margin improvement.
“Catering is a big business, and can be a huge revenue stream for restaurants,” Uber CEO Dara Khosrowshahi said in a statement.
Nihad Rahman, CEO of ezCater, expressed enthusiasm about integrating the company’s catering capabilities into Uber’s “global ecosystem of customers, merchants, and couriers.”
J.P. Morgan Securities is serving as Uber’s financial advisor for the transaction, while Evercore is representing ezCater.
The transaction is anticipated to reach completion in the coming months. Final approval remains contingent on regulatory clearance and other customary closing requirements.
Uber’s Aggressive M&A Strategy
The ezCater acquisition marks Uber’s second major food delivery deal of the year. Earlier in July, the company announced plans to acquire Berlin-headquartered Delivery Hero in a transaction valued at $14.8 billion.
The Delivery Hero acquisition would extend Uber’s combined mobility and delivery presence from 79 markets to 99 markets globally. With Delivery Hero processing $42 billion in gross bookings during 2025, the scale of that transaction is substantial.
While the Delivery Hero deal faces a longer timeline with completion expected in the second half of 2027 pending regulatory approvals, the ezCater transaction is proceeding on an accelerated schedule.
CEO Khosrowshahi has been signaling this strategic direction for several months. During an August presentation, he characterized large-group orders as a “massive addressable opportunity” and indicated Uber Eats would progressively expand “beyond the individual meal.”
The ezCater acquisition directly aligns with those earlier comments. Corporate catering represents precisely the type of high-value, repeat business Khosrowshahi referenced.
Uber’s delivery division has emerged as a significant growth driver recently. During the quarter ending June 30, delivery gross bookings increased 25%, propelled by higher order volumes and expanding user counts.
During that quarterly earnings discussion, Khosrowshahi identified large group orders and in-store pickup options as priority growth areas, according to the Wall Street Journal. The ezCater transaction represents the initial major implementation of that strategic vision.
Collectively, the ezCater and Delivery Hero acquisitions demonstrate Uber’s substantial investment this year in expanding its delivery operations beyond traditional single-meal orders. Both transactions await final regulatory clearance.
