      Aave Labs Proposes Establishment of Aave Foundation in the Cayman Islands

      Aave Labs, the developer behind the decentralized lending protocol Aave, has proposed the creation of the Aave Foundation, a memberless foundation company to be registered in the Cayman Islands. This foundation will be responsible for holding the Aave trademark and associated intellectual property related to the Aave Protocol. The proposal, which has been published on the governance forum, is currently in Phase 1, focusing solely on the registration of the entity and the appointment of initial independent directors and supervisors.

      The foundation will operate under the Foundation Companies Act, with its primary objectives limited to the holding, protection, and licensing of intellectual property for the Aave Protocol. Notably, Aave Labs and its affiliates will not have the authority to appoint directors or supervisors, nor can they hold such positions themselves. Future phases of the proposal will address the transfer of trademarks, domain names, and the intellectual property of the codebase, which will require separate governance submissions.

      If the proposal garners community consensus, it will proceed to a Snapshot vote, followed by the authorization of related expenses through an Aave Improvement Proposal (AIP). This will lead to the formal registration of the foundation in the Cayman Islands and the completion of the initial appointments. The current phase does not include a recurring budget, and any future funding will need to be proposed separately.
