GoPro (NASDAQ: GPRO) shareholders are being asked to approve a deal that pays them cash and leaves them a slice of what comes next, a structure that a lot of the coverage has flattened into "diluted to 10%." Under the merger with optical-photonics company Starman Optical, holders will receive an aggregate cash payment of $285 million, or $1.14 per share, and will keep roughly 10% of the combined company, according to GoPro's SEC filing. The stock traded around $1.45 in early trading on September 9, above the cash figure, after running as high as roughly $2.00 on September 4.This is a follow-up rather than breaking news: the merger was announced September 1, and FinanceFeeds covered the announcement and the surge on September 8. The live question now is the shareholder vote due before year-end and the arithmetic underneath it. What GoPro Shareholders Actually Receive
The terms are set out plainly in the filing, and the cash component is the part most worth pinning down. GoPro shareholders will receive an aggregate $285 million, equal to $1.14 per share, subject to adjustment based on the company's net working capital at closing, and they retain about 10% of the outstanding shares of the combined business, per GoPro's own release. GoPro's roughly $92 million of debt is repaid in full at closing, leaving what the company calls a substantially debt-free balance sheet, and the merged entity stays listed on the Nasdaq.Starman is the reason the deal exists, and its business sits in a corner of the AI supply chain FinanceFeeds detailed in its coverage of the announcement: it makes optical transceivers, the modules that convert electrical data into light so servers inside an AI cluster can talk to each other faster than copper allows. The combined company plans to pursue defense, government, robotics and aerospace customers alongside the existing camera line. The gap between the share price and the cash figure is the whole story of how the market is reading this deal. With GPRO around $1.45 and the cash consideration fixed at $1.14, the roughly $0.31 of daily premium is the market's net valuation of the retained 10% stake per share, less whatever discount traders are applying for the risk the deal does not close on the stated terms. In other words, buyers at $1.45 are paying the cash floor plus a bet on the stub, not paying up for a pure cash buyout.That framing also explains the volatility on the chart. GoPro shares ran well above $1.45 in the days after the announcement, touching roughly $2.00 on September 4, then faded as the arithmetic settled in and traders discounted the stub back toward something the filing can support. The vote itself is not a formality, since GoPro's shareholder base is dominated by retail buyers, including YouTuber Markiplier's disclosed 8.5% stake, who are being asked to approve their own terms.Regulatory clearance carries its own risk given the combined company's intended defense and government end-markets, which invite export-control and foreign-ownership review. And the net-working-capital adjustment written into the agreement means the $1.14 cash figure itself could move at closing.None of that makes failure the base case, but it defines what to watch. The proxy is the single most important document, the vote is the binary event, and the regulatory calendar is the part least in the company's control.
