      According to Bloomberg’s sources with knowledge of the negotiations, the transaction value could reach into the billions. Early Tuesday, both Seagate and Toshiba declined to provide statements on the matter.

      Toshiba subsequently refuted the report’s accuracy. This contradiction introduced additional confusion during what was already a volatile trading session for STX.

      Storage Sector Volatility Continues

      Recent weeks have proven challenging for Seagate shareholders. On October 2, the stock experienced a significant decline following news that Toshiba intends to expand its AI data-center drive manufacturing capacity twofold by fiscal year 2027.

      Western Digital experienced similar downward pressure, although its shares have gained 6% more recently as sentiment toward storage companies fluctuates. Analysts from Morgan Stanley and Bernstein released notes suggesting investors had responded too severely to Toshiba’s expansion announcement.

      Monday saw Seagate shares recoup some losses. However, the stock continues trading below its pre-selloff levels, and Tuesday’s TDK-related headlines applied fresh downward pressure.

      Further complicating investor sentiment, Seagate’s chief executive recently divested shares through a pre-established Rule 10b5-1 plan. While such plans are scheduled well in advance and typically carry no negative implications, market participants often scrutinize the timing of executive sales.

      Strategic Implications for HDD Manufacturing

      Control of TDK’s magnetic-heads operation would provide substantial influence across the hard-drive sector. The three major manufacturers—Seagate, Toshiba, and Western Digital—all rely on this single source for a component with limited alternative suppliers.

      This explains why the story carries significance beyond immediate price movements. The HDD sector has experienced robust growth throughout 2026 as artificial intelligence data centers require unprecedented storage volumes.

      STX shares have surged more than threefold during 2026. This remarkable rally has prompted some market watchers to question whether additional upside remains achievable without a correction.

      Broader market indices provided no relief for Seagate on Tuesday. The S&P 500 advanced 0.5%, the Dow climbed 0.6%, and the Nasdaq increased 0.7%, indicating the pressure on STX reflected company-specific concerns rather than market-wide weakness.

      Analysts anticipate Seagate’s upcoming quarterly results approximately October 28. The stock remains significantly below its 52-week peak of $1,145, reached prior to last week’s substantial decline.

      The TDK acquisition matter remains unresolved at present. With Toshiba’s contradiction of the initial report, investors await additional clarity before determining their next positions.
