Judge Rejects Gemini-CFTC Bid to Overturn $5 Million…
Why Did the Court Reject the CFTC's Reversal?
The dispute originated in June 2022, when the CFTC sued Gemini Trust Company over allegedly misleading statements made during a 2017 regulatory review of a proposed Bitcoin futures contract. The proposed contract would have settled using prices determined through Gemini's own auction system. Regulators questioned whether the exchange had accurately represented its prefunding requirements, protections against self-trading, market-maker rebates and trading volumes.Gemini resolved the lawsuit in January 2025, approximately three weeks before trial. The consent order included findings of misleading statements and omissions, although Gemini settled without admitting or denying the complaint's allegations. In May 2026, the CFTC disclosed that an internal review had identified serious concerns about the original investigation. The regulator said enforcement personnel relied on an unreliable whistleblower, withheld certain information and improperly used regulatory pressure during settlement negotiations. However, Hellerstein determined that the underlying circumstances existed before the settlement, even if additional information became available afterward. He also rejected the argument that regulatory pressure made Gemini's agreement involuntary, noting that the company had litigated for approximately three years before choosing to settle.Investor Takeaway
The ruling leaves Gemini's existing financial penalty and compliance obligations unchanged. More importantly, it establishes that a regulator's subsequent disagreement with its own enforcement decision is not sufficient by itself to reverse a final court judgment.
Can Changes in Crypto Enforcement Policy Undo Past Settlements?
The decision limits how far the CFTC's revised approach to digital asset enforcement can reach into previously concluded litigation. Both parties sought relief under Federal Rule of Civil Procedure 60, which permits courts to modify or reopen judgments under specified circumstances, including sufficiently substantial changes in facts or law.Hellerstein concluded that the Trump administration's digital asset policies and the CFTC's subsequent enforcement changes represented shifts in regulatory priorities rather than changes in the law sufficient to justify vacating the judgment. The court also found that allegations involving newly obtained evidence and misconduct could not be repackaged under a broader provision of Rule 60 to avoid the applicable one-year filing deadline. The decision is particularly relevant because the CFTC has separately moved away from its longstanding no-deny settlement policy, allowing greater flexibility for companies challenging regulatory allegations.Nevertheless, a change in agency policy does not automatically invalidate restrictions imposed through an existing judicial order. What Does the Ruling Mean for Gemini's U.S. Expansion?
The immediate financial consequences are limited. Gemini paid the $5 million penalty before the latest proceedings, and the parties had already agreed that the money would not be returned even if the court granted relief. The more consequential issue is the continuing legal obligation attached to the consent order.Gemini remains permitted to operate and expand its regulated businesses in the United States. The judgment does not revoke its existing authorizations or prevent the company from launching additional products. However, it leaves a historical enforcement finding in place while Gemini Space Station, the exchange's publicly traded parent, concentrates more resources on its American operations. In February, Gemini announced plans to eliminate approximately 25% of its workforce and withdraw from the United Kingdom, European Union and Australia, while maintaining operations in the United States and Singapore. The company has also prioritized prediction markets and derivatives infrastructure. In August, Gemini announced a proposed distribution arrangement with Apex Fintech Solutions involving its regulated Gemini Titan prediction market venue. Those initiatives make the exchange's relationship with U.S. regulators commercially important, even though the existing injunction does not directly prohibit its expansion.Investor Takeaway
For Gemini shareholders, the ruling creates no new $5 million expense. The relevant considerations are the continuing regulatory restrictions, potential reputational consequences and Gemini's ability to grow its U.S. derivatives and prediction markets businesses.
What Happens Next for the Settlement?
Although the court refused to withdraw the consent order, the CFTC retains discretion over whether to seek enforcement of its provisions. That distinction matters. The judicial restrictions remain legally binding, but the regulator can account for its current policies when deciding whether further enforcement action is appropriate. The decision therefore separates two issues that the parties attempted to resolve together: the government's authority to change its enforcement priorities and the judiciary's responsibility to preserve final judgments. For the wider cryptocurrency industry, the case illustrates a practical limitation of regulatory policy reversals. Companies may benefit from a less aggressive enforcement environment in future proceedings without automatically obtaining relief from settlements already approved by federal courts. For Gemini, removing the remaining restrictions would require a further successful legal challenge rather than simply securing the CFTC's agreement that the original case was misguided.Source: FinanceFeeds
