Metaplanet Announces Revised Capital Allocation Strategy Amid Shareholder Concerns

Metaplanet, a Japan-based investment and Bitcoin treasury company, has announced a revised capital allocation policy that aims to invest 10% to 15% of its total assets into strategic investments. These investments will focus on mergers and acquisitions as well as income-generating assets. The company has also introduced a net interest income strategy to enhance revenue generation, which will support its Bitcoin accumulation and dividend payments.

Bitcoin continues to be the core treasury reserve asset for Metaplanet, comprising 85% to 90% of its total assets. The company stated that the new strategy is designed to improve its financing capabilities and credit quality, ultimately increasing Bitcoin holdings per share. However, this shift comes amid shareholder concerns regarding the company's governance and complex capital structure.

In response to these concerns, Metaplanet released five corrected securities filing documents, clarifying that CEO Simon Gerovich does not hold majority voting power in MMX Ventures, a significant shareholder. Additionally, shareholder Bitcoin Pharaoh has called for greater transparency regarding the ownership of MMX Ventures and the identities of two unnamed executives who exercised a substantial number of shares from the company's stock option pool. Earlier this month, management faced backlash for expanding the executive stock option pool significantly, prompting a proposal to reduce it by 41% to address shareholder dissatisfaction.
