Metaplanet (MMTPLF) shares have posted a roughly 6% gain during the most recent five trading sessions, even as the stock languishes approximately 26% below its year-opening price. The Tokyo-based Bitcoin treasury operation has navigated a flurry of activity in recent weeks, launching a fresh income-generation framework while contending with mounting investor concerns over corporate governance practices.
The firm disclosed Monday that it liquidated 10,000 BTC throughout the third quarter, collecting approximately $790 million in proceeds. Shortly thereafter, management reversed course by acquiring 11,000 BTC at a cost near $950 million.
According to company statements, the round-trip transaction served to “demonstrate liquidity.” In essence, Metaplanet aimed to signal its ability to convert Bitcoin holdings into fiat currency on demand rather than pursuing an indefinite accumulation model.
After netting the quarter’s transactions, Metaplanet boosted its aggregate position to 44,000 BTC—a gain of 1,000 coins from the previous period. That tally secures its rank as the world’s second-largest publicly traded Bitcoin treasury entity, behind only Michael Saylor’s Strategy.
By divesting coins at prices below acquisition cost, the company triggered a capital loss under U.S. tax regulations. Metaplanet projects a deferred tax benefit approaching $97 million from this maneuver, though external auditors have yet to validate that estimate.
Launching a Yield-Focused Framework
Metaplanet simultaneously unveiled a net interest income initiative designed to capitalize on funding arbitrage opportunities. The approach draws capital from preferred equity issuances, proprietary corporate bonds marketed as “BitBonds,” and a Bitcoin-backed lending facility.

Proceeds will flow into instruments anticipated to deliver consistent returns. Management intends to capture the margin between asset yields and borrowing costs.
Under updated allocation guidelines, 85% to 90% of total resources remain committed to Bitcoin exposure. The remaining 10% to 15% slice is earmarked for strategic opportunities, encompassing the new yield program, potential acquisitions, and the company’s asset management division.
The firm’s Bitcoin derivatives desk, which provides recurring cash flow, recorded $5.4 million in third-quarter revenue. That figure marks a decline from the $11.1 million logged in Q2, prompting management to acknowledge performance “fallen short” of internal benchmarks. Nonetheless, full-year guidance remains unchanged.
Investors Demand Greater Transparency
Not all stakeholders are embracing the strategic pivot. Last Friday, Metaplanet filed five amended regulatory documents clarifying that CEO Simon Gerovich lacks majority voting control of MMX Ventures, which holds shares in Metaplanet.
The revision sparked immediate pushback from certain investors. Pseudonymous shareholder Bitcoin Pharaoh publicly demanded that Metaplanet disclose the ultimate beneficial owners of MMX Ventures and provide clarity on a 23.8% equity position linked to Gerovich.
“Either the indirect holding is his, in which case the deleted sentence was closer to the truth, or it is not, in which case the correction is incomplete,” the shareholder wrote on X.
The controversy follows a turbulent September. Leadership had nearly septupled the size of its Series 10 executive stock option program, triggering widespread criticism over potential shareholder dilution.
Management subsequently slashed that option reserve by 41%, erasing more than $220 million in aggregate warrant value. Asset manager VanEck nonetheless contended the dilutive harm had already materialized and urged Metaplanet to implement additional remedial measures.
Metaplanet’s mNAV ratio, which benchmarks market capitalization against Bitcoin reserves, has lingered beneath 1.0 since October 2025. As of Monday’s Tokyo close, the multiple stood at 0.80x.
A sub-1.0 reading indicates the equity trades at a markdown to the embedded Bitcoin value. That discount complicates capital-raising efforts, as issuing new shares would dilute existing holders at unfavorable terms.
