MoonPay Acquires SEC-Registered North Capital in $60 Million All-Stock Deal

MoonPay, a fintech company based in Miami, Florida, has announced its acquisition of North Capital, an SEC-registered firm, in an all-stock deal valued at $60 million. This acquisition marks a significant step for MoonPay as it aims to enhance its credibility within the institutional cryptocurrency sector, following a series of strategic purchases.

The deal, structured entirely in stock, allows MoonPay to maintain its liquidity while providing North Capital's shareholders with an opportunity to invest in MoonPay's future growth. This acquisition adds to MoonPay's existing regulatory framework, which includes a New York BitLicense and a Limited Purpose Trust Charter, thereby broadening its regulatory footprint and enabling access to services requiring broker-dealer or investment adviser oversight.

Since 2025, MoonPay has made at least nine acquisitions, with North Capital being the latest. Previous acquisitions include Sodot for approximately $100 million and Helio for $175 million. While the North Capital deal is relatively modest in comparison, it brings essential SEC registration that complements MoonPay's growing portfolio of services aimed at both retail and institutional clients. The company aims to establish itself as a full-stack financial services provider, offering custody, payments, and compliant investment products.
