      National Stock Exchange of India to Price IPO Below Market Expectations

      The National Stock Exchange of India (NSE), the country's largest stock exchange, is preparing to launch its initial public offering (IPO) at a price significantly lower than recent unlisted market valuations. The expected pricing range of ₹1,700 to ₹1,785 per share is notably below the ₹2,000 to ₹2,045 levels observed in the unlisted market, raising concerns among early investors who may face potential losses.

      Previously, NSE shares were estimated to be valued above ₹2,000, with transactions in the unlisted market reaching as high as ₹2,400 at their peak. The new pricing range reflects a reduction of approximately 15% from recent private transactions and more than 25% from historical highs. At the upper end of the new pricing band, NSE would be valued at around ₹4.42 lakh crore, equating to about 43 times the earnings from the previous fiscal year.

      The IPO, which has been approved by the Securities and Exchange Board of India (SEBI), is structured as a pure offer-for-sale of approximately 14.89 crore shares, representing about 5.5% of the company's equity. This is a decrease from the initially planned 6%. The total proceeds from the offering are expected to be around ₹24,300 crore, with all funds going to selling shareholders rather than the NSE itself. The IPO is tentatively scheduled for mid-September 2026, with a listing target set for late September.

      This pricing strategy has raised alarms as it mirrors trends seen in other recent Indian IPOs, where initial market premiums have not translated into successful public offerings. Feedback from institutional investors has indicated that the earnings multiple at the upper price band did not generate sufficient interest, prompting a reassessment of the offer size and pricing.
