SEC’s Regulation Crypto Assets Comment Period Ends October…
The U.S. Securities and Exchange Commission is approaching the October 20, 2026, public comment deadline for Regulation Crypto Assets, a proposal that could significantly change how cryptocurrency projects raise capital and operate under federal securities laws.Published in the Federal Register on August 21, following its August 18 announcement, the proposal establishes a tailored regulatory framework for certain investment contracts involving crypto assets. It introduces two registration exemptions and a conditional safe harbor intended to address longstanding uncertainty surrounding token issuance and securities classification.The proposal, designated File No. S7-2026-27, follows the SEC's March 2026 interpretation addressing the application of federal securities laws to digital assets and related transactions.SEC Chairman Paul Atkins has positioned the initiative as part of the agency's effort to encourage cryptocurrency businesses to operate in the United States while maintaining investor protections.The October 20 deadline concludes the 60-day consultation period. It does not represent the regulation's implementation date, and the SEC has not established a final adoption timetable.
Two Fundraising Exemptions Would Reshape Token Offerings
Regulation Crypto Assets proposes two exemptions from the registration requirements of the Securities Act of 1933.The first, described as a startup exemption, would allow eligible issuers to raise up to $5 million over a four-year period through qualifying crypto-related investment contracts.The second, a fundraising exemption, would permit eligible issuers to raise up to $75 million during each 12-month period.Both exemptions would require issuers to provide principles-based disclosures explaining relevant aspects of their projects, operations and associated risks.The larger exemption would impose additional obligations, including financial statements and ongoing reporting requirements.Importantly, neither exemption would eliminate federal securities oversight. Issuers would remain subject to existing antifraud and antimanipulation provisions, allowing regulators to pursue misleading disclosures and other unlawful activities.The proposal would also preempt certain state securities registration and qualification requirements for qualifying offerings and specified secondary-market transactions.For cryptocurrency developers, the exemptions could provide alternative fundraising pathways without requiring full SEC registration, potentially reducing compliance costs while introducing more standardized disclosure expectations.However, eligibility conditions and the practical cost of compliance will determine how widely the proposed framework can be used.Conditional Safe Harbor Addresses Token Classification
The second major component concerns when a crypto asset associated with an investment contract would cease to be treated as subject to that contract under federal securities laws.The proposed safe harbor would apply when an issuer has completed or permanently ceased the essential managerial efforts it originally represented or promised to perform, subject to specified conditions and reporting requirements.This distinction could be particularly important for blockchain projects transitioning from issuer-led development toward independently operating networks.Rather than automatically treating every token initially distributed through an investment contract as permanently subject to that arrangement, the proposal establishes a conditional mechanism for recognizing subsequent changes.The safe harbor would not provide blanket immunity from securities laws or automatically exempt every cryptocurrency.The consultation also comes as Congress continues debating broader digital-asset market structure legislation, leaving the SEC's proposed rulemaking an important potential source of regulatory clarity.Market participants have until October 20 to submit comments. The Commission may subsequently revise, adopt or withdraw the proposal.If finalized, Regulation Crypto Assets could reshape domestic token fundraising and securities compliance, although its ultimate scope will depend on the SEC's final rule and any subsequent legal challenges.Source: FinanceFeeds
